Biography

Lori is a partner and chair of the Technology practice and member of the Life Sciences industry team. She represents buyers and sellers of technology and helps clients navigate the legal, business, and practical issues that arise in the course of the development, commercialization, procurement, and deployment of technology.

Lori’s practice includes representing domestic and international clients in transactions involving software development and licensing, digital transformation and complex global technology, and business process outsourcing. She frequently negotiates an array of complex sourcing relationships, including strategic alliances, business process outsourcing (BPO), IT outsourcing (ITO), and other strategic sourcing and revenue-sharing arrangements. Lori has extensive experience restructuring and renegotiating legacy or otherwise unfavorable transactions, as well as advising clients through the process of termination, resourcing, or insourcing.

Lori also assists clients with large-scale digital transformation initiatives involving the implementation and integration of custom and enterprise-level technology solutions. She regularly advises clients through a wide variety of digital transactions to help them leverage social, mobile, analytics, and cloud solutions to reduce costs and deliver “big data” insights. In addition, Lori negotiates numerous professional services agreements – including master services agreements – covering the development, configuration, integration, and implementation of software using both waterfall and agile development methodologies. Lori routinely engages with some of the largest and most sophisticated service providers in the world, yielding market-leading results for the benefit of her clients.

Experience

  • Lori is a skilled drafter of all forms of technology-related contracts and is able to provide clients with carefully tailored agreements that address the increasingly complex demands for digital services. In connection with documenting the digital transformation relationships, Lori has negotiated issues surrounding, among other things, open-source software policies and licensing, appropriate security and privacy measures, complex robotic automation (RPA), connected device (Internet of Things or IoT), and artificial intelligence (AI).

  • She has assisted clients with procuring mission-critical software, including electronic health records (EHR) software, enterprise asset management (EAM) software, customer relationship management (CRM) applications, enterprise database technology, and enterprise resource planning (ERP) software, omnichannel inventory, fulfillment and supply software applications. Lori has extensive experience structuring and negotiating these purchases in hosting and data center agreements and other various licensing models, including public, government, private, hybrid cloud, and other “as a Service” models (SaaS, PaaS, and IaaS).

  • Represented companies in the outsourcing of multi-tower information technology outsourcing relationships

  • Represented healthcare purchasing organization in the development of required terms, conditions, and minimum security requirements for entities selling technology or technology-enabled products to member organizations

  • Negotiation of governing agreements and intra vendor agreements for the outsourcing of various business processes, including bill print, back office, mailing, and call center services

  • Represented large hospital chains in the licensing of its electronic health records software

  • Represented SaaS providers in creation and negotiation of all customer contracts
