Biography
Joel is a partner in the Corporate & Finance practice and a member of the Payments Systems & Fintech, Life Sciences, and Healthcare Private Equity industry teams.
He represents private and public companies, funds, and individuals in a wide variety of business matters, including mergers, acquisitions and dispositions (including distressed transactions), debt and equity financings, joint ventures, corporate governance, and commercial agreements. He has significant experience representing buyers and sellers in middle-market M&A transactions.
Joel works with clients in the distribution, technology, payments, manufacturing, healthcare, pharmaceutical, medical device, and restaurant industries, among others. He counsels both established enterprises and early-stage companies.
While in law school, Joel interned with the U.S. Securities and Exchange Commission, The Coca-Cola Company, and the Honorable Timothy C. Batten, Sr., United States District Judge for the Northern District of Georgia.

- Represented Fortune 100 food distribution company in strategic transactions throughout the U.S., including many acquisitions throughout the food distribution industry.
- Represented a private equity sponsor in a platform investment in a dental services organization, as well as related structuring and capital raising matters.
- Represented family-owned distributor of JanSan, foodservice disposables, and packaging products in its sale to a strategic buyer backed by a multinational company.
- Represented private equity-backed platform in roll-ups of medical practices throughout the U.S.
- Represented one of the U.S.’s largest private companies in strategic merger and acquisition transactions.
- Represented sellers of specialized telemedicine provider in its sale to private equity.
- Represented a buyer in its acquisition of specialty aircraft manufacturer.
- Represented a private equity sponsor in its acquisition of a platform in the sanitation industry, as well as related structuring and capital raising matters.
- Represented closely held, e-commerce-focused technology services business in its sale to a private equity-backed strategic buyer.
- Represented waste management and recycling services company in leveraged acquisition transaction.
- Represented specialty prescription pharmaceuticals company in complex collaboration and licensing transactions (inbound and outbound licenses) for the development and/or commercialization of prescription products.
- Represented a closely held cleaning and sanitation products manufacturer in its sale to a publicly traded buyer.
- Represented hedge-fund backed investment vehicle in specialty manufacturing and processing joint venture with its operating partner.
- Represented a closely held leading national provider of remodel, conversion, and expansion project services for multisite restaurant, retail, and hospitality brands in its sale to a family office-like buyer.
- Represented large urology physician practice in acquisition transaction.
- Represented shareholders of surgical equipment service and repair solutions business in its sale to a leading national provider of healthcare technology, management, and service solutions.
- Represented sole shareholder of a coating and foam manufacturer in its sale to a private equity-backed platform.
- Represented physician owners of medical device start-up in its sale to a publicly traded, global healthcare company.
- Represented a restaurant chain owner/operator and debtor-in-possession in a 363 sale to its “stalking horse” bidder.
- Represented an over-the-counter pharmaceutical company in its acquisition of a portfolio of commercial and pipeline products from a multinational pharmaceuticals company.
- Represented sole shareholder of an electrical contractor in its sale to a private equity-backed platform.
- Represented family-owned, third-party benefits administrator in its sale to a strategic buyer.
- Represented the owner of 50% of a SaaS business in the sale of his equity interest to the other owner.
- Represented a manufacturer and packager of pharmaceuticals, over-the-counter drugs, and dietary supplements in the negotiation of a major supply agreement with a large, independent provider of over-the-counter products.
- Represented early-stage, Internet-of-Things company in a Series Seed equity financing and an early-stage employee benefits company in a Series A financing.
- Represented sole shareholder of infrastructure construction services provider in sale of the provider to a publicly traded, national provider of infrastructure services.
